Governance and accountability

Structure

The foundation is governed by a board of trustees chaired by the cofounder and chairperson. The board meets quarterly and approves every grant above the delegated threshold. Board members serve without compensation.

Conflicts of interest

Any trustee with an interest in a proposed grantee declares it in writing and recuses themselves from the vote. Declarations are recorded in the minutes and summarized in the annual report.

Financial controls

Two signatures are required on every disbursement. Program funds are held separately from operating funds. Accounts are prepared annually and reviewed by an independent firm.

Reporting

The annual report publishes total income, total spend by program, administrative ratio, and outcomes against the targets set the previous year, including the ones missed.

Safeguarding

Every adult working directly with minors under the education programs is screened before placement and works under a published code of conduct. Concerns can be raised confidentially to the chair.
